1. INTRODUCTION
Welcome to HubKitani platform (“HubKitani,” “we,” “us,” “our”). Please read the following Terms of Service carefully so that you are aware of your rights and obligations with respect to HubKitani Company (Company Registration No. P30015302 ). These Terms & Conditions (“Terms”) constitute a legal agreement between you (“User,” “you,” “your”) and HubKitani regarding your use of our website, client software, platform, and services, all information, linked pages, features, data, text, images, photographs, graphics, music, sounds, video (including live streams), messages, tags, content, programming, software, application services (including, without limitation, any mobile application services) or other materials made available through the Site or its related services (“Services”). By accessing or engaging with our platform, you agree to be bound by these Terms. Please read this document carefully. If you do not agree to these Terms, you are advised not to use our platform or services.

1.1 ELIGIBILITY

 To be eligible to use the services of HubKitani, you must meet the following criteria:

1.1(a) You confirm that you are at least 18 years of age or have acquired proper consent from a legal guardian or parent.

1.1(b) You agree to provide accurate, current, and complete registration data as required during registration or when updating your account details.

1.1(c) You shall not misrepresent your identity, age, or any other personal or business details.

1.1(d) Use of the platform is restricted to lawful purposes and activities that comply with local and international laws.

1.2 ACCOUNT REGISTRATION AND SECURITY

 1.2(a) Users must register with valid details, including an email address, phone number, and other required information.

1.2(b) You are solely responsible for maintaining the confidentiality of your account credentials, including passwords or any two-factor authentication details.

1.1(c) You agree to notify HubKitani immediately of any unauthorized access, breach, or suspicious activity concerning your account.

1.2(d) You accept full liability for all activities performed under your account, whether or not authorized.

1.2(e) HubKitani reserves the right to suspend or delete accounts suspected of unauthorized access, fraudulent activity, or violation of these Terms without prior notice.

1.3 USER CONDUCT AND RESPONSIBILITIES

1.3(a) Users shall utilize our platform solely for lawful purposes.

1.3(b) You agree not to upload, post, transmit, or otherwise make available any content that is harmful, obscene, defamatory, infringing, or otherwise objectionable.

1.3(c) Avoid conducting any activities that may interfere with or disrupt the normal functioning of the platform, including hacking, spamming, or introducing malicious software.

1.3(d) Do not impersonate any individual, corporation, or entity or falsely state your relationship with them.

1.3(e) Respect intellectual property rights and refrain from uploading copyrighted materials without permission.

1.3(f) Users shall be responsible for maintaining a respectful and positive environment, avoiding harassment, abuse, or discriminatory conduct.

2.PRODUCT LISTINGS AND CONTENTS

(a) Sellers are solely responsible for ensuring that all product listings are accurate, truthful, and compliant with all relevant laws, regulations, and rights.

(b) All listed products must be genuine, legal, and not infringe upon third-party rights.

(c) Prohibited items include illegal drugs, restricted chemicals, hazardous materials, or items that violate import/export laws.

(d) Sellers are liable for ensuring their listings do not violate intellectual property rights.

(e) HubKitani reserves the rights to remove or block listings violating policies without prior warning or notice.

3. TRANSACTIONS & PAYMENTS

 (a) All transactions should be processed through HubKitani’s secure payment gateway.

(b) Payments to sellers are released after successful delivery confirmation and customer satisfaction.

(c) Buyers accept responsibility for verifying product details and suitability before completing a purchase.

(d) HubKitani does not act as the merchant or guarantee the quality or authenticity of products.

(e) Dispute resolution regarding payments or transactions must follow the platform’s established dispute process.

(f) Sellers must keep their payment details accurate and current.

4.SHIPPING & DELIVERY (Policy)

(a) Sellers are responsible for dispatching products within the timeframe agreed upon at the sale point.

(b) Shipping methods, times, and costs are specified at the time of purchase.

(c) Buyers must provide accurate shipping addresses and contact details.

(d) Sellers should supply tracking information when available.

(e) HubKitani is not liable for delays, damage, or loss caused by events beyond its control.

(f) Users should contact HubKitani directly for issues related to lost or damaged parcels and notify HubKitani.

5.RETURNS & REFUNDS (Policy)

HubKitani offers a return and refund policy designed to provide fair recourse for buyers in case products do not meet expectations or are defective, while also establishing clear guidelines to protect sellers and the platform.

5.1 Return Policy:
Returns are accepted within 3-5 days from the date of receipt of the product, provided that the items are in their original condition, unused, undamaged, and in the original packaging with all tags attached. The product must be returned following the procedures outlined in our Return System.

5.2 Non-Returnable Items:
Certain items are excluded from return eligibility. These include, but are not limited to:

5.2 (a) Perishable goods (food, fresh produce, flowers)

5.2(b) Customized, personalized, or made-to-order products

5.2(c) Intimate or hygienic apparel (lingerie, swimwear)

5.2(d) Digital products, software, or downloadable content

5.2(e) Items marked as non-returnable in the product listing

5.3 Initiating a Return:
Buyers must initiate a return request through the HubKitani platform by submitting the requisite form and providing acceptable proof of purchase. The return request must include the reason for return and any supporting evidence (e.g., photos, videos).

5.4 Return Packaging:
Items must be repackaged securely, in the original packaging if possible, and shipped via a trackable courier service to the address specified in the return process.

5.5 Inspection & Refund Processing:
Upon receipt, the returned item will be inspected by the seller or the designated return center. Refunds will be processed within approximately 3-7 days following receipt and approval, contingent upon the item meeting the return conditions.

5.6 Refund Method:
Refunds will be issued to the original payment method used during the purchase. Delivery charges are non-refundable unless the return is due to our error (e.g., wrong or defective product).

5.7 Refusals & Denials:
Refunds or exchanges may be denied if the returned item is not in the condition specified, if the return procedure is not followed, or if the return request is submitted outside the allowed timeframe.

5.7.1 Fraudulent Return Inspection:

HubKitani/the seller reserves the right to conduct forensic inspection on returns. If a returned item is determined to be swapped with a non-original item, or is empty (a package containing no product or an incorrect product), the refund will be denied, and the case may be escalated for investigation, potentially leading to account suspension.

6. DISPUTE RESOLUTION

HubKitani is committed to resolving disputes fairly and efficiently, and we provide mechanisms to facilitate this process:

6.1 Reporting Disputes:
Users are encouraged to report disputes, complaints, or suspicions of fraudulent activities directly through the platform’s dispute management system. This includes issues such as non-delivery, damaged goods, or misrepresentation.

6.2 Mediation Process:
Once a dispute is filed, our support team will mediate between the involved parties, aiming to achieve a fair resolution based on the submitted evidence. We do not guarantee particular outcomes, but we will use our best efforts to facilitate an amicable solution.

6.3 User Responsibility:
Users agree to communicate honestly, provide truthful information, and respond promptly to inquiries related to disputes.

6.4 Consequences of False/Misleading Information:

Users who are found, through the mediation process, to have deliberately provided false, fabricated, or misleading evidence or statements intended to deceive HubKitani or the other party will be subject to immediate penalties, which may include:

Denial of the Dispute: The dispute will be ruled entirely in favor of the opposing party.

Financial Penalty: HubKitani may assess a penalty fee against the offending party’s account to cover investigation and administrative costs.

Account Sanctions: The user’s account may face temporary suspension, permanent deactivation, or a ban on utilizing the dispute resolution system for future transactions.

6.5 Platform Right to Act Independently:

 HubKitani reserves the right, at its sole discretion, to take immediate action against any party, including issuing automatic refunds or holding funds, if evidence of egregious fraud, legal violation, or severe policy abuse is identified, even before a formal mediation process is fully concluded. This independent action is taken to protect the integrity of the marketplace and other users.

7. PRIVACY & DATA PROTECTION (Policy)

Data Breach & Liability Disclaimer

HubKitani utilizes third-party service providers, such as Supabase, located in Singapore, to store and process user data. While we implement industry-standard security measures to protect your information, we cannot guarantee complete security against unauthorized access, hacking, or data breaches.

By using the HubKitani platform, you acknowledge and agree that HubKitani, its affiliates, and third-party providers shall not be held liable for any damages, losses, or liabilities resulting from data breaches, leaks, or cyberattacks beyond our direct control. We shall notify affected users of any breach when legally required, but we do not accept responsibility for damage or harm caused by such incidents.

We strongly advise all users to keep their login details secure and remain vigilant about online security practices.

We are dedicated to safeguarding your personal information and respecting your privacy rights:

7.1 Data Collection:
We collect data such as your personal identifiers (name, contact info), transaction history, browsing activity, and IP addresses to provide and improve our services.

7.2 Purpose of Data Use:
Your data is used for processing transactions, customer service, marketing communications, legal compliance, and platform analytics.

7.3 Data Rights:
You have the right to access, correct, or delete your personal data. Requests can be submitted through our support contact. We implement security measures such as encryption and restricted access to protect your data.

7.4 Policy Updates:
Changes to our Privacy Policy will be updated publicly and communicated to you. Continued use of our platform signifies your acceptance of any updates.

7.5 Data Retention:

We will retain your personal data only for as long as is necessary to fulfill the purposes outlined in this policy, including the period required to comply with our legal, accounting, or reporting obligations. Upon expiration of the retention period, personal data will be securely deleted or anonymized.

7.6 Data Sharing & Disclosure:

We will not sell your personal data to third parties. Data is shared only with trusted third parties necessary for service operation, including:

Sellers/Vendors/Merchants: To fulfill your order (e.g., shipping address, name).

Payment Processors: To authorize and complete transactions.

Service Providers: For logistics, IT, and marketing support, under strict confidentiality agreements.

Legal Requirement: When required to do so by law or in response to a valid legal process (e.g., court order).

7.7 Consent for Marketing:

We will obtain your explicit consent before sending you direct marketing communications. You have the right to withdraw this consent at any time by utilizing the “unsubscribe” link in any marketing email or by updating your account preferences.

8. INTELLECTUAL & PROPERTY RIGHTS

(a) All logos, trademarks, service marks, images, text, code, and content displayed on the HubKitani platform—collectively referred to as “platform content”—are the sole property of HubKitani or licensed to us.

(b) Users agree not to reproduce, duplicate, copy, distribute, modify, sell, or exploit any content from the platform without prior written permission from HubKitani. This prohibition includes but is not limited to downloading images, copying text, or reproducing branding materials.

(c) Users retain ownership of their own original content, such as product descriptions, reviews, or images they upload. However, by submitting content to HubKitani, users grant us a non-exclusive, worldwide, royalty-free license to use, display, modify, reproduce, publish, and distribute that content solely for the purpose of operating and promoting the platform.

8.1 User Warranty of Originality (Amended to include AI)

User Warranty of Originality: Users warrant and represent that any content they upload, display, or sell on HubKitani (including product designs, photos, and branding) is original work or that the user has secured all necessary licenses, permissions, and rights to use such content. This warranty explicitly extends to content created using Generative Artificial Intelligence (AI) tools. The user assumes all legal risk and liability if the AI-generated content infringes on any third-party intellectual property or violates the terms of service of the AI generation tool itself. Users agree to indemnify and hold HubKitani harmless against any claims arising from the user’s content infringing on the IP rights of any third party.

8.2 Transparency in AI-Generated Content:

When using AI-generated images, particularly in product listings:

Physical Products: AI-generated images may not be used as the primary product image for any physical item if the image does not constitute a clear and accurate representation of the actual product being sold. Any use of AI images for physical products must be clearly disclosed (e.g., “AI-Generated Lifestyle Image”).

Digital Products: For digital goods, users must ensure the generated image does not mislead the buyer regarding the product’s origin, function, or ownership.

HubKitani reserves the right to remove any AI-generated image or listing determined to be deceptive, misleading, or substantially inconsistent with the actual product.

9. LIMITATION OF LIABILITY

HubKitani provides the platform and related services strictly “as-is” and makes no warranties or representations regarding its operation, stability, accuracy, or security. We do not guarantee that access to the platform will be uninterrupted or error-free.

9.1 To the maximum extent permitted, HubKitani, its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including, but not limited to, damages for loss of profits, goodwill, data, or other intangible losses resulting from:

9.1(a) Your use or inability to use the platform

9.1(b) Any inaccurate or incomplete content

9.1(c) Disputes between users, including buyers and sellers

9.1(d) Unauthorized access or security breaches

9.1(e) Errors or omissions in the platform content

9.2 You agree to indemnify and hold harmless HubKitani and its affiliates from and against all claims, liabilities, damages, losses, costs, and expenses arising out of or in any way related to your use of the platform or violation of these Terms.

10. TERMINATION & SUSPENSION

Our Right to Terminate or Suspend:
HubKitani reserves the right to terminate Seller monthly package (without refunds,) suspend, restrict, deactivate, or delete your account immediately and without prior notice if you violate these Terms, engage in fraudulent activities, misuse the platform, or act in a manner harmful to others, the platform, or its reputation.

10.1 Your Right to Request Deletion:
You may submit a request to delete your account at any time. Requests will be processed within seven (7) days, and you will no longer have access to the account or platform services after deletion.

10.2 Effect of Termination:
Termination of your account does not relieve you from liabilities or obligations incurred prior to the termination date. Any outstanding payments, disputes, or claims will remain subject to resolution according to these Terms.

10.3 Automatic Deactivation:
Accounts that are inactive for a prolonged period (e.g., 12 months) or found to violate legal or platform policies may be automatically deactivated or removed

10.4 Liability for Termination:
HubKitani shall not be liable to you for any damages, loss, or expenses that may result from the suspension or termination of your account or access.

10.5 Survival of Terms:

Clauses related to intellectual property rights, limitation of liability, dispute resolution, governing law, and any accrued financial obligations will expressly survive the termination or suspension of your account and access to the platform.

10.6 Data Handling Post-Termination:

Upon termination or deletion, HubKitani will retain and delete your personal data in accordance with its Privacy and Data Protection Policy (Section 7). Specifically, we reserve the right to retain necessary account data (e.g., transaction records, communication history) for a period required to comply with legal, tax, fraud prevention, and dispute resolution obligations, even after your account is deleted.

10.7 Seller Obligations Post-Termination:

If a seller’s account is terminated or suspended, the seller remains fully obligated to fulfill any pending orders, manage any current returns, and resolve all ongoing customer disputes initiated prior to or immediately following the termination date. Failure to meet these post-termination obligations may result in legal action or retention of funds by HubKitani.

11. MISCELLANEOUS PROVISION

11.1 No Waiver

Failure by HubKitani to enforce any right, clause, or provision of these Terms shall not be construed as a waiver of such rights. Any waiver of any breach or default shall only be effective if in writing and signed by an authorized representative. No delay or omission in exercising any right shall operate as a waiver of that right or any subsequent rights.

11.2 Entire Agreement

These Terms, along with our Privacy Policy and any other policies or notices posted on the platform, constitute the entire agreement between you and HubKitani regarding your use of the platform. It supersedes all prior or contemporaneous communications, whether written or oral, regarding the subject matter herein.

11.3 Third-Party Enforcement

This Agreement is a contract solely between the User and HubKitani. Unless these Terms explicitly state otherwise, no term, condition, right, or remedy within this document is intended to be enforceable by any person or entity other than the User or HubKitani.

11.4 Force Majeure

HubKitani shall not be held liable for failures or delays due to causes beyond its control, including but not limited to acts of God, natural disasters, war, strikes, government actions, cyber-attacks, or internet outages.

11.5 Assignment:

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without the express prior written consent of HubKitaniHubKitani may, without restriction, assign or transfer its rights and obligations under these Terms, in whole or in part, to any other entity in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
          

12. ENTIRE AGREEMENT & MODIFICATION

Entire Agreement

These Terms, including all policies, notices, and rules posted or linked on our platform, constitute the entire agreement between you and HubKitani concerning your use of the Service. They replace any prior agreements, discussions, representations, or understandings, whether written or oral.

12.1 Modification of Terms

HubKitani reserves the right to modify or amend these Terms at any time. Changes may include updates to policies, procedures, fees, or legal obligations. We will notify users of significant updates via email or site notifications. Continued use of the platform after any modifications constitutes acceptance of the updated Terms. You are responsible for reviewing these Terms periodically to stay informed of any changes.

12.2 No Waiver of Rights

Failure by either party to enforce any right or provision under these Terms shall not be deemed a waiver of that right or provision. Any waiver shall be effective only if in writing and signed by an authorized representative.

13. CHANGES TO THE TERMS & CONDITIONS

Right to Amend and Update

HubKitani reserves the right to revise, modify, or update these Terms and Conditions at any time, without prior notice, to reflect changes in legal requirements, technological developments, or business practices. This includes, but is not limited to, updates related to privacy policies, transaction processes, dispute procedures, or platform functionalities.

13.1 Publication of Updated Terms

In the event of any change, the revised Terms will be posted on this page with a clear “Effective Date” noted at the top. We recommend that users regularly review this section to stay informed of any amendments. The updated version supersedes any previous versions and will be considered binding upon your continued use of the platform.

13.2 Continued Use as Acceptance

Your continued access or use of our platform, products, or services after any such updates signifies your acceptance of the revised Terms. If you do not agree with the new terms, you must stop using the platform immediately and deactivate your account if applicable.

13.3 Your Responsibility

It is your responsibility to periodically check these Terms for updates. Ignorance of changes does not exempt you from compliance. Failure to review updates regularly may lead to unintentional violations or disputes.

14. Software & Data Location

Software Infrastructure

Our platform operates using Supabase, an open-source backend-as-a-service platform, which manages our database, authentication, storage, and real-time data functions. This infrastructure ensures reliable, scalable, and secure operations.

14.1 Data Storage & Processing Location

All user data—including personal details, transaction records, and interactions—are stored and processed within data centers located in Singapore. These facilities are operated by reputable cloud providers that adhere to international security standards to ensure data safety and privacy.

14.2 Data Security

We employ industry-standard security measures, including encryption, access controls, and regular security audits, to protect your data stored in Singapore. Data transmission between your device and our servers is secured using SSL/TLS encryption.

14.3 User Rights & Data Access

You have the right to access, correct, or delete your personal data. Requests can be made by contacting [Insert Contact Email].

14.4 International Data Transfer

While our primary data storage is in Singapore, in cases where data needs to be transferred outside Singapore, we ensure such transfers are protected by legal safeguards and encryption.

14.5. GENERAL TERMS

(a) These policies are part of our overall Terms & Conditions.

(b) Your continued use of our platform signifies your agreement with these data practices.

(c) We are committed to safeguarding your privacy and ensuring data security

 15. WHATSAPP ORDER PROCESSING & MODERATION

(a) HubKitani facilitates order communication between buyers and sellers through WhatsApp, acting solely as an intermediary platform. All interactions, messages, and order details are conducted via HubKitani’s system, which employs automated processes for moderation and approval.

(b) When a buyer submits an order request via WhatsApp, the message is first received and processed through our automated filtering system. This system reviews incoming messages for compliance with our policies, including the prohibition on sharing contact information outside of the HubKitani platform. Messages that contain personal contact details such as phone numbers, email addresses, or links to external communication channels will be flagged or censored to protect user privacy and ensure security. HubKitani will be taking legal actions on either of the party’s if they conduct it.

(c) Once an order request passes moderation, HubKitani either forwards the request to the seller internally or presents it for approval within the platform. All order management, updates, and communication are handled exclusively through HubKitani’s interface. This process ensures that users do not share or exchange contact details outside the platform, maintaining our commitment to data privacy and transactional security.

(d) By engaging with our WhatsApp order system, you acknowledge and consent to the use of automated moderation and the restriction on sharing contact details outside of HubKitani. All data collected during this process is managed securely in accordance with our Privacy Policy.

15.1 Legal Action & Penalties for Circumvention:

HubKitani prohibits any attempt by users (both buyers and sellers) to induce, solicit, or complete transactions outside of the HubKitani platform. Violations of this circumvention policy, including the sharing of contact details, will result in severe penalties, including:

Permanent account Suspension or Termination or Ban.

15.2 Seller Responsibility for Compliance (New Clause):

Sellers acknowledge that they are responsible for ensuring that all their personnel or agents communicating via the WhatsApp channel strictly adhere to this moderation policy. Any breach by a seller’s employee or agent will be treated as a breach by the seller and subject to the penalties outlined in Clause 15.1

Forfeiture of funds related to the attempted transaction.

A contractual penalty fine (Liquidated Damages) of [$500 BND] per detected circumvention attempt, in recognition of the loss of platform commission fees and investigative costs.
